ACCEPTANCE OF SERVICE TERMS OF USE

DEFINITIONS
  1. “Admin Account(s)” means the administrative account(s) provided to Customers for the purpose of administering the B3Networks CPaaS services.

  2. “Admin Console” means the online tool provided by B3Networks CPaaS to Customers for use in reporting and certain other administration functions.

  3. “Administrators” means the Customer-designated personnel who administer the B3Networks CPaaS service to End Users on Customer’s behalf.

  4. “Agreement” means an agreement between Customer and B3Networks Pte Ltd specifying the general terms and conditions for provision of the Services.

  5. “Customer” shall mean you or Reseller. If you are creating an account in order to use the B3Networks CPaaS Service on behalf of an organization, then you are agreeing to these Terms of Use for that organization and promising to us that you have the authority to bind that organization to these Terms of Use.

  6. “Customer Data” means data provided, generated, transmitted or displayed via the B3Networks CPaaS platform by Customer or End Users.

  7. “End Users” means the individual users whom Customer permits to use the B3Networks CPaaS platform.

  8.  “Service” means the service known as “B3Networks CPaaS”, or any part(s) thereof, as may be varied or amended from time to time by B3Networks in its sole discretion.

  9. “B3Networks CPaaS” means a programmable mobile telecommunication service that may exist in the form of a virtual SIM or DDI with programmable interfaces.

SERVICE TERMS OF USE
  1. Acceptable Use of Service. Customers agree not to, and not to allow Customer’s End Users, to use the B3Networks CPaaS:

    1. to violate, or encourage the violation of, the legal rights of others;

    2. for any unlawful, invasive, infringing, defamatory or fraudulent purpose;

    3. to intentionally distribute viruses, worms, Trojan horses, corrupted files, hoaxes or other items of a destructive or deceptive nature;

    4. to alter, interfere with or circumvent any aspect of the B3Networks CPaaS platform;

    5. to test or reverse-engineer the B3Networks CPaaS platform in order to find limitations, vulnerabilities or evade filtering capabilities;

    6. to use the B3Networks CPaaS platform in a manner not authorised by B3Networks Pte Ltd

  2. Provision of B3Networks CPaaS. B3Networks CPaaS is configured via the Admin Console. Customers may specify one or more Administrators through the Admin Console who will have the rights to access Admin Account(s) and to administer the End User accounts.

  3. Customer Administration. Customer agrees that B3Networks CPaaS’s responsibilities do not extend to the administration of the B3Networks CPaaS for Customer and that B3Networks CPaaS is merely a data-processor. Customer is responsible for:

    1. maintaining the confidentiality of the password and Admin Account(s);

    2. designating those individuals who are authorized to access the Admin Account(s);

    3. ensuring that all activities that occur in connection with the Admin Account(s) comply with the Agreement.

  4. Customer’s Equipment. Customer is solely responsible for the purchase, setup, use and operation of any equipment not provided by B3Networks Pte Ltd that may be used in association with B3Networks CPaaS.

  5. Customer’s Systems and Applications. Customer is solely responsible for the use of any third party systems and applications together with the B3Networks CPaaS.

  6. Data Transfer. As part of providing the B3Networks CPaaS, B3Networks Pte Ltd may transfer, store and process Customer Data within B3Networks CPaaS facilities in the Philippines. By using the B3Networks CPaaS, Customer consents to this transfer, processing and storage of Customer Data.

  7. Facilities. All facilities used to store and process Customer Data will adhere to reasonable security standards no less protective than the security standards at facilities where B3Networks Pte Ltd stores and processes its own information of a similar type. B3Networks CPaaS has implemented industry standard systems and procedures to ensure the security and confidentiality of Customer Data, protect against anticipated threats or hazards to the security or integrity of Customer Data and protect against unauthorized access to or use of Customer Data.

  8. Unauthorized Use. Customers will use commercially reasonable efforts to prevent unauthorized use of the B3Networks CPaaS and agree to notify B3Networks Pte Ltd immediately of any unauthorized use. B3Networks CPaaS cannot and will not be liable for any loss or damage arising from Customer’s failure to comply with this requirement. Customers will be solely responsible for any and all amounts charged to Customer’s account regardless of prompt notification of unauthorized use or fraudulent use, except to the extent such unauthorized use is caused by B3Networks CPaaS’s gross negligence.

  9. Suspension for Non-Payment. Customers with delinquent payment will automatically be suspended from the use of B3Networks CPaaS. The duration of this suspension will be until the Customer completed payment for all outstanding charges. If Customer remains suspended for non-payment for more than sixty (60) days, Customer account may be terminated.

  10. Suspension of Accounts. If an Administrator or End User is in violation of these Terms of Use, then the account may automatically be suspended. The duration of any suspension will be until the applicable Administrator or End User has cured the breach which caused the suspension.

  11. Suggestions. Customer agrees that B3Networks CPaaS shall have a royalty-free, worldwide, perpetual license to use or incorporate into the Service any suggestions, ideas, enhancement requests, feedback, recommendations or other information provided by Customer relating to the Service.
